1. Scope and Acceptance

These Terms of Service ("Terms") govern your use of the website at yenaratea.com (the "Website") and your purchases through it. The Website is operated by Yenara LLC ("we", "us" and "our"). The Website and its content, features, tools, products and services are the "Services." The Website is powered by Shopify, which enables us to provide the Services to you.

You agree to these Terms when you affirmatively accept them, including by creating an account or by placing an order through a Shopify-powered checkout (including checkout reached through a third-party sales channel we enable) that states that submitting the order constitutes acceptance. If you do not agree, do not create an account or place an order.

These Terms incorporate our Privacy Policy, Refund Policy and Shipping Policy, each as posted on the Website. Our Privacy Policy explains how we collect, use and disclose personal information. Accepting these Terms does not itself provide consent to marketing or to data processing that requires separate consent under applicable law.

2. Eligibility and Accounts

You must be at least 18 and have legal capacity to enter into a contract to create an account or place an order. Provide accurate and current account, payment and shipping information. Keep your account credentials confidential and promptly notify us of suspected unauthorized use. You are responsible for activity you authorize through your account. Accounts may not be transferred without our written permission.

3. Products and Safety

We aim to describe our products accurately. Screen displays and natural botanical variations may affect appearance. These variations do not excuse inaccurate ingredient information or products that fail to conform to applicable warranties.

We may change our product offerings or limit quantities for future orders. We will not substitute a different product or materially change an accepted order without your consent.

Our products are herbal teas sold as food. Information on the Services, including ingredient lists and product descriptions, is provided for general information only and is not medical advice. It is not intended to diagnose, treat, cure, or prevent any disease or condition, and it is not a substitute for advice from your healthcare provider.

If you are pregnant, postpartum, nursing, trying to conceive, have a medical condition, take medication, or have allergies or sensitivities, speak with your healthcare provider before consuming any herbal product. Always review the ingredient list on the package you receive before consuming it.

Stop using the product if you experience a suspected adverse reaction and seek appropriate medical care. Report product concerns or suspected adverse reactions to [email protected]. For a medical emergency, call 911.

4. Orders, Prices and Payment

Placing an order is an offer to purchase. We accept your order when we send you an order confirmation stating that we have accepted it, or when we ship it, whichever occurs first. We may reject or cancel an order for a lawful reason, including product unavailability, suspected fraud, or a material listing or pricing error. We will notify you and promptly refund any payment collected for a rejected or canceled order. We will not increase the price or substitute products without your consent.

To request cancellation, contact [email protected] promptly. Cancellation may not be possible once fulfillment begins, except where required by law.

Prices are stated in U.S. dollars. Advertised prices include all mandatory charges other than applicable government-imposed taxes and reasonable shipping charges, which are shown before you submit your order. Price changes apply to future orders, not accepted orders. Promotions may have additional terms disclosed with the offer.

You represent that the payment information you provide is accurate, that you are authorized to use the payment method, and that your purchases are for your own personal or household use and not for commercial resale or export.

5. Shipping and Refunds

Available shipping destinations, shipping charges and estimated delivery dates are shown at checkout and in our Shipping Policy. Carrier delivery dates are estimates unless we expressly guarantee them.

We will ship within the stated shipment period or, if none is stated, within the period required by applicable law. If shipment is delayed, we will provide the required notice and offer you the choice to consent to the delay or cancel for a prompt refund.

For lost, damaged, incorrect or undelivered orders, contact [email protected]. Returns and refunds are governed by our Refund Policy, which does not limit remedies available to you under applicable law.

6. Intellectual Property

The Services, including text, images, graphics, video, audio, names, logos, product names and designs, and their selection and arrangement, are owned by Yenara LLC or its licensors and are protected by intellectual property laws. Customer reviews and other content you submit remain yours, subject to the license in Section 9.

You may use the Services for personal, non-commercial purposes. This includes ordinary browsing, browser caching and printing your order records. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, or sell material from the Services without our prior written consent, except as applicable law permits. Nothing in these Terms grants you a license under any patent, trademark, copyright or other intellectual property of Yenara LLC, Shopify or any third party. All rights not expressly granted are reserved.

Shopify's name, logo and related marks are trademarks of Shopify. All other names and logos on the Services belong to their respective owners.

7. Shopify and Third Parties

Third-party tools and links. The Services may include tools, functionality or links provided by third parties, which we do not monitor or control. We provide third-party tools "as is" and "as available" and do not endorse them. Review the terms and policies of any third party before using its tools or sites, and direct complaints about third-party products or services to the third party.

Relationship with Shopify. The Website is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make on the Website are made directly with Yenara LLC. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Yenara LLC, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Yenara LLC.

Section 12.3 applies to everything in this Section 7.

8. Privacy

Our handling of personal information is described in our Privacy Policy. Shopify also processes personal information in connection with hosting the Website and providing its services, as described in Shopify's Privacy Policy.

9. Reviews and Submissions

You retain ownership of reviews and other content you submit. You grant Yenara LLC a nonexclusive, worldwide, royalty-free license to host, reproduce, display and distribute that content to operate and promote the Services, subject to applicable privacy and consumer-protection law. Formatting or editing must not materially change a review's meaning.

Submit only content you have the right to share, and disclose any incentive or material connection. We may remove spam, fraudulent content, unlawful threats, unlawful content, content that infringes others' rights, content that reveals another person's private information, and content that makes medical or health-treatment claims about our products. We apply these criteria consistently to positive and negative content, and we do not remove reviews merely because they are negative.

Nothing in these Terms prohibits honest reviews, lawful criticism, complaints to regulators, or other legally protected statements.

10. Acceptable Use and Agents

10.1 Acceptable use. Use the Services for lawful purposes only. You may not use them to: violate any law or regulation; infringe intellectual property or other rights; threaten, unlawfully harass, impersonate or defraud any person; transmit false or misleading information, malware, spam or chain letters; collect or track the personal information of others; or interfere with or circumvent security, authorization features, robot exclusion headers or other access controls. You may not use any robot, spider, scraper, data-extraction tool, automated process or AI tool to access the Services, except as permitted in this Section 10 or by law. Restrictions on copying or automated access do not prohibit ordinary browser operation, personal recordkeeping, assistive technologies, or other uses protected by applicable law.

10.2 Agents. This Section 10.2 applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person's device, without direct supervision.

No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and complies with this Section 10.2. No Agent may do so if we have requested that it refrain. We may limit, including by technical measures, whether and how any Agent accesses the Services. This Section does not restrict Agents or sales channels that we or Shopify have authorized, including AI shopping channels we enable through Shopify.

Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose its name by including "Agent/[agent name]" in the user agent string; (ii) not conceal or obfuscate that any access or interaction is from an Agent, including by mimicking human behavior or by completing or circumventing CAPTCHAs or measures intended to distinguish computer use from human use; (iii) respond truthfully to any question or prompt seeking to determine whether interactions are coming from a human or a computer; and (iv) not circumvent any measure intended to block, limit, modify or control whether and how Agents access the Services.

11. Suspension and Termination

We may suspend or terminate your account or access to the Services if we reasonably determine that you have violated these Terms or applicable law. You may stop using the Services at any time.

Termination does not eliminate obligations concerning accepted orders, refunds, accrued rights, or remedies under applicable law. Provisions that by their nature should survive termination will survive.

12. Warranties and Liability

12.1 Website. TO THE EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS ONLINE FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE ACCESS.

12.2 Products. THE DISCLAIMER IN SECTION 12.1 DOES NOT DISCLAIM WARRANTIES APPLICABLE TO OUR FOOD PRODUCTS, EXPRESS PRODUCT PROMISES, OR RIGHTS AND REMEDIES THAT CANNOT LAWFULLY BE DISCLAIMED.

12.3 Limitation of liability. TO THE EXTENT PERMITTED BY LAW, YENARA LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE WEBSITE. NO DISCLAIMER, RELEASE OR LIMITATION IN THESE TERMS, INCLUDING PROVISIONS CONCERNING SHOPIFY OR OTHER THIRD PARTIES, EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY, FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, VIOLATIONS OF LAW, OR ANY LIABILITY, WARRANTY, RIGHT OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

12.4 Indemnification. To the extent permitted by law, you will indemnify Yenara LLC against third-party claims and reasonable costs caused by your unlawful conduct, infringement of another person's rights, or intentional misuse of the Services. This obligation does not apply to claims caused by defective products or by the acts or omissions of Yenara LLC. We will provide prompt notice and reasonable cooperation. No settlement may impose an admission, payment or other obligation on you without your written consent.

13. General Legal Terms

Severability. If any provision of these Terms is held unlawful, void or unenforceable, it will be enforced to the fullest extent permitted by law and the remainder will stay in effect.

Waiver. Our failure to enforce any right or provision is not a waiver of it.

Entire agreement. These Terms, our Privacy Policy, our Refund Policy and our Shipping Policy are the entire agreement between you and us regarding the Services and supersede prior versions of the Terms.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets, or by operation of law.

Governing law. These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. You and Yenara LLC consent to the exclusive venue and personal jurisdiction of the state and federal courts located in Los Angeles County, California, except where applicable consumer law gives you the right to bring a claim elsewhere.

Headings. Headings are for convenience only.

Changes. We may revise these Terms prospectively. We will post the revised version and its effective date and provide reasonable advance notice of material changes, except where immediate changes are required by law or necessary for security. Material changes become binding through appropriate notice and assent under applicable law. Changes do not apply retroactively to accepted orders or existing disputes.
